If you are engaging DiWConsultix on behalf of a company, organisation, or other entity, you confirm that you have the authority to do so.

3. Services and Project Scope

All services are provided according to the scope agreed upon between DiWConsultix and the client.

The agreed scope may be documented through a proposal, quotation, email confirmation, statement of work, invoice, or service agreement.

Requests or requirements outside the agreed scope may be treated as additional work and may incur additional charges.

Changes to the project requirements after approval may also affect the estimated timeline and overall cost.

4. Client Responsibilities

Clients are responsible for providing accurate and complete information, content, materials, access credentials, approvals, and other resources reasonably required to complete the project.

Clients must ensure that any content, images, logos, documents, data, or other materials provided to DiWConsultix are legally owned, licensed, or authorized for use.

DiWConsultix is not responsible for delays caused by late information, delayed approvals, unavailable access, inaccurate information, or other client-side delays.

5. Pricing and Payments

All pricing will be communicated through the applicable proposal, quotation, invoice, or service agreement.

Unless otherwise specified, third-party expenses such as domain registration, hosting, premium themes, plugins, software subscriptions, stock assets, advertising budgets, and other external services are not included in our professional service fees.

Applicable taxes, including GST where applicable, may be charged in addition to the quoted fees.

Clients are expected to make payments according to the agreed payment schedule.

DiWConsultix reserves the right to pause or suspend services if payments remain overdue.

Any work completed or expenses incurred before suspension or termination remain payable.

6. Refunds and Cancellations

Unless otherwise agreed in writing, payments for work that has already commenced are generally non-refundable.

If a project is cancelled after work has started, the client may be responsible for payment for work completed up to the cancellation date and for any approved or non-refundable third-party expenses incurred on their behalf.

For ongoing or monthly services, cancellation and notice requirements will be based on the terms agreed with the client.

Cancellation of services does not remove the client’s obligation to pay any outstanding invoices.

7. Project Timelines

Any timeline provided by DiWConsultix is an estimated timeline unless a specific deadline has been agreed upon in writing.

Project timelines may change due to changes in project scope, delays in receiving client information or approvals, technical issues, third-party services, hosting or server issues, platform or software updates, or circumstances beyond our reasonable control.

We will make reasonable efforts to complete projects within the agreed timeframe.

8. Revisions and Approvals

The number of revisions included in a project, where applicable, will be specified in the relevant proposal or agreement.

Additional revisions or substantial changes beyond the agreed scope may incur additional charges.

Once a deliverable has been approved by the client, subsequent changes may be considered additional work.

Clients are responsible for reviewing and providing timely feedback on deliverables.

9. Website Development

DiWConsultix will develop websites according to the agreed project scope and technical requirements.

Website functionality and performance may depend on hosting providers, plugins, themes, APIs, browsers, devices, third-party services, and other external technologies.

Unless specifically included in the agreed scope, ongoing maintenance, security monitoring, backups, hosting, plugin updates, premium licenses, and technical support are not automatically included after project completion.

10. SEO and Digital Marketing

SEO and digital marketing results depend on numerous factors outside the direct control of DiWConsultix.

We do not guarantee specific Google or search engine rankings, a specific amount of website traffic, a specific number of leads, a specific number of sales or conversions, a specific return on advertising spend, continued search engine visibility, or approval or continued availability of advertising accounts.

Search engine algorithms, advertising platforms, competition, market conditions, user behavior, and third-party policies may change without notice.

DiWConsultix will use reasonable professional efforts and agreed strategies to improve performance, but specific business or marketing results cannot be guaranteed.

11. Third-Party Services

Our services may involve third-party platforms and technologies, including hosting providers, domain registrars, Google, Meta, WordPress, plugins, themes, APIs, analytics platforms, payment providers, and other software or services.

DiWConsultix does not control these third-party providers and cannot guarantee their availability, performance, security, compatibility, pricing, or continued functionality.

We are not responsible for losses or delays caused by third-party outages, policy changes, account restrictions, service discontinuation, algorithm changes, or other actions outside our reasonable control.

12. Intellectual Property

DiWConsultix retains ownership of its pre-existing intellectual property, including internal processes, methodologies, templates, frameworks, tools, reusable components, and know-how.

Unless otherwise agreed in writing, ownership or applicable usage rights for custom deliverables created specifically for a client will transfer to the client after full payment for the relevant project has been received.

Third-party materials such as fonts, stock images, plugins, themes, software, libraries, and other licensed assets remain subject to their respective licenses and terms.

13. Client-Provided Materials

Clients retain responsibility for materials they provide to DiWConsultix.

By providing any content, images, logos, text, videos, documents, data, or other materials, the client confirms that they have the necessary rights and permissions to use those materials.

DiWConsultix is not responsible for claims arising from unauthorized or infringing materials supplied by the client.

14. Portfolio and Marketing

Unless otherwise agreed in writing, DiWConsultix may showcase completed work, websites, designs, selected deliverables, and client names or logos in our portfolio, website, case studies, presentations, or marketing materials.

Clients who require confidentiality or do not wish their work to be publicly displayed may request this in writing.

15. Confidentiality

DiWConsultix respects the confidentiality of information shared by clients during the course of a project.

We will take reasonable measures to protect confidential business, technical, financial, marketing, and other non-public information provided to us.

This does not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

16. Privacy

Personal information submitted through our website or provided during a project may be used for purposes such as responding to inquiries, providing services, communicating with clients, processing payments, and managing business operations.

However, we do not guarantee that all information will always be complete, accurate, current, or free from errors.

We reserve the right to update, modify, or remove website content, services, pricing, or information at any time.

To the maximum extent permitted by applicable law, DiWConsultix will not be responsible for indirect, incidental, special, consequential, or business-related losses arising from the use of our website or services, including loss of profits, business opportunities, data, or anticipated savings.

Where liability cannot legally be excluded, DiWConsultix’s liability will be limited to the extent permitted by applicable law.

Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited.

20. Indemnification

To the extent permitted by applicable law, the client agrees to indemnify and hold DiWConsultix, its owners, employees, contractors, and representatives harmless from claims, losses, damages, liabilities, or expenses arising from:

  • Client-provided materials
  • The client’s unlawful use of our services
  • Infringement caused by client-provided content
  • The client’s breach of these Terms
  • Violation of applicable laws or third-party rights by the client.

21. Suspension and Termination

DiWConsultix may suspend or terminate services where reasonably necessary, including in cases involving non-payment, material breach of these Terms, fraudulent or unlawful activity, misuse of our services, abusive or inappropriate conduct toward our team, or failure to provide required information or cooperation for an extended period.

Termination does not remove any payment obligations that arose before termination.

22. Force Majeure

DiWConsultix will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet or infrastructure failures, cyber incidents, platform outages, hosting failures, labor disruptions, war, civil unrest, epidemics, or third-party service failures.

23. Changes to These Terms

DiWConsultix may update these Terms & Conditions from time to time.

Any updated version will be published on this page with a revised “Last Updated” date.

Your continued use of our website or continued engagement with our services after an update constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

24. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any dispute relating to these Terms or our services should first be addressed through good-faith communication between DiWConsultix and the client.

Where a dispute cannot be resolved amicably, it may be subject to the applicable dispute-resolution process and jurisdiction specified in the relevant client agreement or, where no separate agreement exists, the courts having appropriate jurisdiction.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to remain in effect to the extent permitted by applicable law.

26. Entire Agreement

These Terms, together with the applicable proposal, quotation, invoice, statement of work, or service agreement, constitute the understanding between DiWConsultix and the client regarding the relevant services.
